17.1 Historical Contributors and Submitted Materials

Materials historically submitted or delivered specifically for publication by Ideas4Solutions may continue to be reproduced, displayed, formatted, archived, preserved, migrated to updated technology, and made available through Ideas4Solutions for the editorial, historical, educational, journalistic, and archival purposes for which they were originally provided.

To the extent a contributor submitted material specifically for publication and no separate written agreement governs that material, the contributor grants Ideas4Solutions a nonexclusive, worldwide, royalty-free license to publish, display, reproduce, format, preserve, archive, restore, migrate, and make the material available through the Website and successor archival formats for as long as the Website or its archive is maintained.

This license does not transfer ownership of the contributor’s copyright to Ideas4Solutions. It does not authorize Ideas4Solutions to sell the contributor’s work as a separate commercial product, license it for unrelated advertising, materially alter its meaning, or falsely attribute it without additional permission.

Ideas4Solutions may make reasonable technical, grammatical, formatting, accessibility, restoration, translation, and archival changes that do not materially misrepresent the original work. Material editorial changes should be identified or approved when reasonably practicable.

Private correspondence, confidential submissions, unpublished proposals, and material sent only for review are not licensed for public distribution merely because Ideas4Solutions received them.

Where a separate agreement, written authorization, employment arrangement, assignment, or license applies, that arrangement controls.

IDEAS4SOLUTIONS DOES NOT WARRANT THAT THE WEBSITE, ITS SERVERS, EMAILS, DOWNLOADS, LINKS, OR CONTENT WILL BE SECURE, AVAILABLE, CURRENT, ACCURATE, OR FREE FROM ERRORS OR HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THESE EXCLUSIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDEAS4SOLUTIONS AND ITS OWNER, ADMINISTRATOR, CONTRIBUTORS, REPRESENTATIVES, FAMILY MEMBERS, FORMER PERSONNEL, SERVICE PROVIDERS, AND CONTENT SOURCES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF IDEAS4SOLUTIONS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT, IF ANY, THAT THE CLAIMANT PAID DIRECTLY TO IDEAS4SOLUTIONS FOR THE SPECIFIC WEBSITE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS PRECEDING THE EVENT; OR
  2. ONE HUNDRED UNITED STATES DOLLARS.

Because ordinary public access to the Website is provided without charge, the applicable amount will ordinarily be one hundred dollars.

These limitations do not exclude liability that cannot lawfully be excluded, including liability established by a final court judgment for intentional misconduct, fraud, or other conduct for which applicable law prohibits limitation.

The limitations apply regardless of the legal theory asserted and even if Ideas4Solutions was advised that damage was possible, but only to the extent permitted by applicable law.

23. Release Concerning Third Parties

Ideas4Solutions may seek temporary, preliminary, permanent, or other equitable relief when legally appropriate, without limiting any other available remedy.

Nothing in this provision guarantees that a court will grant such relief.

26. Suspension, Blocking, and Termination

Ideas4Solutions may, to the extent permitted by law and without assuming an obligation to provide advance notice:

  • Block an IP address or automated system;
  • Remove or reject submissions;
  • Suspend interactive features;
  • Preserve relevant records;

Because the Website does not ordinarily provide individual user accounts, references in the prior Terms to account termination no longer apply unless account functionality is introduced in the future.

29. Governing Law

31. Time Limit for Claims

TO THE EXTENT PERMITTED BY APPLICABLE LAW, A CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CLAIM ACCRUED.

If applicable law does not permit that one-year period for a particular claim, the claim must be commenced within the shortest limitations period that the law permits the parties to establish by contract.

This section does not shorten the time for claims whose limitation period cannot legally be modified, including claims subject to mandatory consumer-protection or other nonwaivable laws.
